COVER THAT MEDIA
TERMS OF SERVICE
Last Updated: September 22, 2026
These Terms of Service (“Terms”) govern services provided by Cover That Media (“Cover That Media,” “CTM,” “we,” “us,” or “our”).
By purchasing services from CTM, approving a proposal or statement of work, or otherwise agreeing to begin a project with CTM, you (“Client”) agree to the applicable terms below.
1. SERVICES AND PROJECT SCOPE
CTM provides digital services that may include website design and development, search engine optimization (SEO), branding, digital authority services, content, online sales and commerce setup, booking and appointment integrations, delivery or marketplace integrations, press and media services, and related digital services.
The specific services, deliverables, pricing, and project requirements for each Client will be described in the applicable proposal, quote, invoice, statement of work, or other written agreement.
Work requested outside the agreed project scope may require additional fees and additional completion time. CTM will obtain Client approval before proceeding with additional billable work.
2. PAYMENTS AND DEPOSITS
Unless otherwise stated in writing, larger or custom projects may require a 50% deposit before work begins, with the remaining 50% due before final launch, transfer, or delivery.
Smaller projects or services may require payment in full before work begins.
CTM may establish different payment milestones for individual projects when disclosed and agreed to in writing before work begins.
3. CANCELLATIONS AND REFUNDS
Once CTM has begun work on a project, deposits may become non-refundable because time, labor, resources, and project capacity have been committed.
If a Client cancels before work begins, CTM may review the circumstances and any costs already incurred in determining whether any payment is refundable.
If a project is canceled after work begins, the Client remains responsible for work already performed, commitments made specifically for the project, and non-refundable third-party expenses.
Nothing in these Terms is intended to limit any refund, cancellation, or other rights that cannot legally be waived under applicable law.
4. REVISIONS
Unless otherwise stated in the applicable project agreement, CTM projects include up to two reasonable rounds of revisions to the agreed deliverables.
A revision means a reasonable modification to work produced within the originally agreed scope.
Major changes in direction, additional deliverables, new concepts, or requests outside the original scope may require additional fees.
CTM will communicate applicable additional charges before proceeding with billable out-of-scope work.
5. CLIENT RESPONSIBILITIES
Clients are responsible for providing information, content, photographs, logos, credentials, approvals, and other materials reasonably required to complete their project.
Clients represent that they have the necessary rights or permissions to use materials they provide to CTM.
Clients are responsible for the accuracy and legality of claims, information, products, services, and materials they provide.
CTM is not responsible for project delays caused by missing materials, delayed approvals, unavailable access credentials, or other Client-side delays.
6. PROJECT TIMELINES
Any estimated completion dates depend on project scope, Client responsiveness, required approvals, third-party services, and other project requirements.
If CTM is waiting for required Client materials, information, payment, or approval, the project timeline may be paused or adjusted accordingly.
7. THIRD-PARTY SERVICES AND COSTS
Projects may require third-party products or services, including domains, hosting, software, advertising platforms, payment processors, press distribution services, marketplace services, delivery platforms, or other technology.
Unless specifically included in writing, third-party charges are separate from CTM’s service fees.
Clients may be required to pay these expenses directly or provide payment before CTM purchases them on the Client’s behalf.
CTM does not guarantee the continued availability, performance, policies, pricing, or approval decisions of third-party platforms.
8. RESULTS AND THIRD-PARTY APPROVALS
CTM will provide the services described in the applicable project agreement but cannot guarantee specific business outcomes.
CTM does not guarantee specific search-engine rankings, website traffic, sales, revenue, leads, press coverage, media placement, customer reviews, marketplace approval, platform approval, or other results controlled by customers, search engines, media organizations, platforms, algorithms, or third parties.
9. OWNERSHIP AND INTELLECTUAL PROPERTY
After full payment, the Client will receive the ownership or usage rights specified for the agreed final custom deliverables, subject to applicable third-party licenses and restrictions.
CTM retains ownership of its pre-existing tools, templates, processes, systems, methods, workflows, know-how, and other intellectual property that was not created exclusively as a custom Client deliverable.
Third-party assets, software, fonts, stock materials, plugins, platforms, and other licensed materials remain subject to their respective licenses and terms.
10. CLIENT APPROVAL AND LAUNCH
Unless otherwise agreed in writing, CTM will provide the Client an opportunity to review and approve applicable client-facing work before final publication, launch, or delivery.
If the Client has specifically authorized CTM to manage or publish content on the Client’s behalf, CTM may operate within the scope of that authorization.
Final project balances must be paid before final launch, transfer, or delivery unless otherwise agreed in writing.
11. RECURRING SERVICES
Recurring services, including ongoing website management, SEO, content, digital presence management, or similar services, will be billed according to the billing cycle stated in the applicable agreement.
Cancellation requirements and effective cancellation dates may be specified in the applicable recurring-service agreement.
Payments for billing periods in which services have already been performed are not automatically refundable, subject to applicable law and any written agreement between CTM and the Client.
12. COMMUNICATION
Clients agree to provide accurate contact information and to communicate reasonably with CTM during an active project.
Project communications, approvals, scope changes, and other important decisions may be documented electronically.
13. WEBSITE INQUIRIES
Submitting a contact form or Free Digital Presence Audit request does not by itself create a paid client relationship or obligate either party to purchase or provide services.
A project begins only after CTM and the Client agree to the applicable scope and payment requirements.
14. LIMITATION OF RESPONSIBILITY
To the extent permitted by applicable law, CTM is not responsible for losses caused by third-party platform outages, policy changes, account suspensions, algorithm changes, Client-provided misinformation, unauthorized Client materials, Client delays, or circumstances reasonably outside CTM’s control.
Nothing in these Terms excludes or limits responsibility that cannot legally be excluded or limited.
15. CHANGES TO THESE TERMS
CTM may update these Terms as its services and business practices evolve.
Changes will be reflected by updating the “Last Updated” date. Changes will not retroactively alter an already agreed project scope or payment obligation unless CTM and the Client agree otherwise.
